As a prerequisite for starting the liquidation process, we expect that:

• You have submitted your company’s annual reports for the previous years and the accounting for the current year is also up-to-date.
• Secondly, your e-residency ID card should be valid. Unfortunately, it is not possible to start the process without your ID card.

The process takes at least 7-8 months to be fully completed. Most of the time though you can do nothing. My team will reach out when it is time for you to take action and we will of course guide you in every step. With your authorization we can handle most of the tasks ourselves behind the scenes. So that in the case of the perfect scenario you would only need to sign a few documents with your e-residency ID-card to complete the process approximately in 8 months.

Some steps are performed by you (you take an action) with our assistance (using a short guide or via Teams). These stages are marked bold below.

It is also OK to order only some of steps in the process from HELPWAY OÜ. For this reason, the price list is presented in parts of the process. You just let us know in which parts you need our help.

 The process includes the following steps:

1. We take an action: Preparing the dissolution resolution (also in Estonian). With this document, the owner(s) decide to close the business. Partial payment: 60 EUR.
2. You take an action: Preparing and submitting to the e-Business Register the dissolution entry petition. Once the e-Business Register confirms it, the official process begins. An action you can take with our assistance (we will send you instructional materials or guide you in Teams).
3. We take an action: Publishing a notice of liquidation (also in Estonian) via official announcements. Let your business partners know about your plans to close the company. Partial payment: 100 EUR.
4. We take an action: Preparing the liquidation report. This report provides an overview of the financial year before the liquidation started. Partial payment: 100 EUR.
5. You take an action: Submitting the liquidation report. An action you can take with our assistance (we will send you instructional materials or guide you in Teams).
6. We take an action: Preparing the final closing report and asset distribution plan with the calculation of the final liquidation proceeds. After this, you can finally transfer the funds to yourself right away and close your bank account(s). Partial payment: 120 EUR.
7. We take an action: Calculating the corporate income tax on liquidation proceeds (if your company ended up in profit). Preparing and submitting to the Tax and Customs Board the tax report (also in Estonian) related to the liquidation proceeds. Partial payment: 100 EUR.
8. You take an action: Preparing and submitting the company deletion entry to the e-Business Register. An action you can take with our assistance (we will send you instructional materials or guide you in Teams).
9. We take an action: The liquidators shall deposit the documents of a private limited company with a person maintaining an archive (archivist) or another trustworthy person (we allow ourselves to be determined). Documents are kept in Estonia (at least for 7 years). It is to be completed even if there is no actual document. The authorities can make a corresponding request to archivist for documents at any time (!). Partial payment: 120 EUR.
   

Billing is done as an advance payment, and if necessary, you can pay in advance for only one next step if you do not want to pay for the entire process immediately. If you choose this approach, you still have our support in coordinating the entire process!

The total amount of services can be 600 euros (including all state fees). It does not include any hidden fees!
